Incorporation of a Company

Start your company right — the structure, the registration, and every first filing.

Getting incorporated correctly — the right structure, a clean set of documents, and the post-incorporation filings done on time — saves years of compliance trouble later. We handle the entire set-up under one roof.

SERVICE 01

Choosing the right structure

Private Limited vs LLP vs OPC vs Partnership

Before anything is filed, we help you pick the structure that fits your plans for funding, compliance appetite and taxation.

  • A clear comparison of Private Limited, LLP, OPC and partnership on fundraising, compliance load and tax.
  • Guidance for founders who intend to raise external or foreign investment.
  • Name availability check and reservation (RUN / SPICe+ Part A).
Best for: Founders deciding how to set up

Not sure which structure fits? Tell us your plans — funding, team, timeline — and get a clear recommendation before you commit.

SERVICE 02

  • PAN, TAN, and bank-account and EPFO/ESIC registration bundled in incorporation.

SERVICE 03

Limited Liability Partnership (LLP)

FiLLiP incorporation

A lighter-compliance vehicle suited to professional firms and ventures that do not plan to raise equity.

  • Incorporation via FiLLiP, with DPIN/DSC for the partners.
  • Drafting and filing the LLP Agreement (Form 3).
  • PAN, TAN and bank-account set-up.

  • OPC incorporation with nominee documentation.
  • Advice on the turnover/capital thresholds that trigger conversion to a private company.

SERVICE 05

Foreign Wholly Owned Subsidiary (WOS)

A 100%-owned Indian company for a foreign parent

When a foreign company wants its own presence in India, a wholly owned subsidiary — a Private Limited company with the parent holding 100% of the shares — is the usual route.

  • Incorporation of the Indian subsidiary (Private Limited) with the foreign parent as shareholder.
  • Structuring the 100% foreign shareholding, subject to the FDI entry route and sectoral caps.
  • Handling apostilled / notarised parent-company documents and authorised-signatory KYC.
  • Coordinating the FEMA/RBI reporting on share allotment (FC-GPR) — see the FEMA & RBI page.
  • Meeting the resident-director requirement and the other set-up formalities.
Structure: Private Limited · 100% heldNote: Subject to FDI route / caps

Setting up an Indian subsidiary? Tell us the parent's country and your sector — we'll confirm the route and handle incorporation end to end.

Not-for-profit company for charitable objects

A Section 8 company is the corporate vehicle for non-profit work — promoting objects such as education, art, science, sports, social welfare, charity, religion or the environment, where any profits are applied to the objects and not distributed to members.

  • Obtaining the Section 8 licence from the Central Government and incorporating the company.
  • Drafting the MOA and AOA around your charitable / not-for-profit objects.
  • SPICe+ incorporation with the licence, DIN/DSC and PAN/TAN.
  • Guidance on ongoing compliance and the restriction on paying dividends to members.

Setting up a non-profit? We'll obtain the Section 8 licence and incorporate it, structured around your objects.

SERVICE 07

Post-incorporation compliance

The first 180 days

Incorporation is the start, not the finish. These first filings are where most new companies slip.

  • First board meeting, and appointment of the first auditor (ADT-1).
  • Issue of share certificates and stamping.
  • INC-20A declaration of commencement of business.
  • Opening the statutory registers and minute books.
Watch: INC-20A within 180 days
SERVICE 08

Registrations & add-ons

The other registrations most new companies need, arranged alongside incorporation.

  • GST registration.
  • Udyam (MSME) and Startup India (DPIIT) recognition.
  • Import Export Code (IEC) for companies trading across borders.
  • Professional Tax, PF and ESI registration where applicable.

Need GST, IEC, MSME or Startup India registration? We'll get them done alongside your incorporation.
